Chapter I. General provisions. The "Ludzka Miara" Foundation (short name; in English "Human Measure Foundation") has legal personality and its seat in Żurawica. It operates in Poland and abroad, for an indefinite period, under the Act on Foundations. The minister competent for the Foundation's purposes is the minister responsible for digitalisation. It may create branches and join organisations, including foreign ones.
Chapter II. Purposes and principles (§ 5–8). Purposes: artificial intelligence, new technologies, technological justice, human rights, digital education and culture, information security (10 detailed areas — see About the Foundation). Ways of pursuing them include research and measurement of AI systems, reports and scorecards, monitoring authorities and the right of access to public information, participation in proceedings, consultations, education, information points, tools and data under free licences, grants and publishing. The Foundation carries out public benefit activity (paid or unpaid; the scope is set by the Management Board). Independence principles (§ 8): independence from authorities, parties and businesses; transparency of funding sources, including donors above 10% of annual revenue; a 30% cap on revenue from businesses in the AI sector; a conflict-of-interest policy.
Chapter III. Assets and income (§ 9–10). Founding fund: PLN 500 and a specialist book collection valued at PLN 290. Income comes, among other things, from donations, inheritances and bequests, grants and subsidies, collections, tax allocations, paid public benefit activity and interest. All income goes to statutory activity. Loans and preferential transfers of assets to members of bodies, employees and their close persons are prohibited, among other things.
Chapter IV. Business activity (§ 11). The Foundation does not conduct business activity; starting it would require amending the statute and meeting the conditions set out in § 11.
Chapter V. Bodies (§ 12–18). Management Board (2–5 persons, including a President and a Vice-President, a joint 4-year term; each member represents the Foundation independently). Foundation Council (3–7 persons; a supervisory body, if appointed — its members are to include, among others, a person with a university degree in psychology or medicine in psychiatry and a person with a law degree). Programme Council — an advisory body without the status of a Foundation body. The Founder has the powers set out in the statute, including appointing members of bodies and amending the statute.
Chapter VI. Amendment, merger, liquidation (§ 19–21). A change of purposes may not lead away from the areas in § 5. Assets remaining after liquidation are transferred to a non-governmental organisation with similar purposes.
Chapter VII. Final provisions (§ 22). The financial year equals the calendar year; the first one ends on 31 December 2027. The Foundation submits an annual report to the competent minister and makes it publicly available.
